Pioneer Professional Accountants Publishes Guide to U.S. Corporate Tax and Treaty-Based Filing Considerations

Pioneer Professional Accountants Inc. (PPA) has published an educational guide outlining selected U.S. corporate tax and treaty-based filing considerations for foreign companies conducting business or earning income in the United States.
 
The guide discusses how U.S. trade or business activities, effectively connected income, permanent establishment provisions, state tax nexus, and filing obligations may interact. It also explains why a foreign corporation may need to evaluate Form 1120-F and, where applicable, treaty disclosures such as Form 8833.

U.S. Trade or Business and State Nexus

A foreign corporation’s U.S. federal tax position depends on its activities, income sources, personnel, agents, contracts, assets, and other facts. Activities conducted through a U.S. office, employees, dependent agents, or business operations may create U.S. trade or business considerations. Separate state filing, income, franchise, sales-tax, or registration obligations may arise under state-specific standards.

Treaty-Based Filing Considerations

The Canada-U.S. income tax treaty may limit U.S. tax on business profits where a Canadian enterprise does not carry on business through a permanent establishment in the United States. The treaty does not remove the concept of permanent establishment; it uses that concept to determine when the United States may tax qualifying business profits.

Depending on the facts, a Canadian corporation may need to file Form 1120-F even where it claims treaty protection. A protective Form 1120-F may be appropriate where the corporation wishes to preserve certain filing positions if the IRS later determines that U.S. trade or business activity or effectively connected income existed. A treaty-based return position may also require Form 8833, subject to applicable exceptions.

Timely Filing and Documentation

Timely filing can be important to preserving deductions and credits potentially available against effectively connected income. Companies should maintain contracts, travel and personnel records, customer and sales data, invoices, expense support, and documentation relevant to permanent establishment and state nexus analyses.
